This Schedule is part of the Master Terms. Capitalized terms not defined here have the meaning given there. Where this Schedule conflicts with the Master Terms, this Schedule controls for Collasia only. For Collasia, references in the Master Terms to the Privacy Policy mean the Collasia privacy notice. Collasia is a product of Stratenity Inc., not a separate legal entity; your contract is with Stratenity Inc.
1. The service
Collasia helps professionals find the right people, take part in circles and communities, exchange knowledge, host and join events, and build professional relationships, with Collasia AI making the community more relevant. It is provided as software as a service at collasia.com and in the Collasia apps, using the same account as VelorStrategy.
Collasia does not include the VelorStrategy workspace (desks, Office or Velora) unless you also have a paid VelorStrategy plan.
2. Membership and billing
(a) Ways to be a member. (i) A Collasia membership at $9.99 per month; or (ii) any paid VelorStrategy plan, Basic and up, which includes Collasia at no extra charge for as long as that plan is active. Collasia has no free tier and no free trial. An invited guest may join a single circle or community, for free and for a limited time, as stated in the invitation.
(b) Billing. A Collasia membership bought on the web is billed monthly by Stripe from the day you join. One bought in a Collasia app is billed by Apple or Google under their terms. Prices exclude taxes where applicable. Price changes follow Master Terms section 4(e); for purchases through Apple or Google, they also follow the store's rules on price changes.
(c) Cancelling. Cancel any time: on the web in Privacy & Visibility, under Membership, then Manage billing; in an app, in your Apple or Google account's subscription settings. You keep access until the end of the month you paid for. Paid months are not refunded except for billing errors under Master Terms section 5(c), or as Apple or Google decide for purchases made through them.
(d) Moving to a VelorStrategy plan. When you start a paid VelorStrategy plan, Collasia continues as part of that plan. Your separate web Collasia membership then stops renewing and ends at the end of its paid month; there is no refund for the overlap. A Collasia membership bought through Apple or Google does not stop automatically; cancel it in your store account.
(e) When a plan ends. If your VelorStrategy plan ends and you have no Collasia membership, you can no longer use Collasia until you join again. Your profile and content stay in place unless you delete your account.
3. Your content
(a) You own it. "Your Content" includes your profile, discussions, replies, comments, knowledge, events, circles and communities you create, messages, clips, uploads and reports. Master Terms section 8(a) applies.
(b) Community license. Collasia exists so members can see each other's contributions, so Master Terms section 8(b) is expanded for Collasia: you grant Stratenity Inc. a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt for display (for example resizing images or transcoding video), display and distribute Your Content within Collasia to the audience you chose: the members of the circle, community or conversation, members permitted by your profile settings, and anyone you send a clip or upload link to. This includes showing it in feeds, search, notifications, digest emails, Collasia AI answers for members who can already see it, and the limited share previews described in the privacy notice. We do not use Your Content to advertise Collasia outside the service without your permission.
(c) How long. The license ends for each item when you or we delete it, or when you delete your account, except for copies in backups for up to 30 days, records kept under section 5, and what the law requires us to keep. Content other members wrote, such as their replies to you, stays theirs.
(d) Your responsibility. You are responsible for Your Content and must have the rights to post it, including permission from anyone who appears or can be heard in your clips and uploads, and from the owner of any confidential information. Do not post anything you are not free to share.
(e) Other members' content belongs to them. You may read it and share links to it through Collasia's Share options. Do not copy, republish or export other members' content or profiles outside Collasia without their permission.
(f) Feedback. If you send ideas or suggestions about Collasia, we may use them without obligation to you.
4. Community rules
(a) The community guidelines are part of this Schedule. You agree to them before your first contribution, and they apply to everything you post, send, record or upload, and to your profile.
(b) Zero tolerance. You must not post or send harassment, bullying, threats, hate speech, sexual content, content that sexualizes minors, violent or graphic content, promotion of self-harm or terrorism, spam, scams, phishing, fake job offers, impersonation, other people's private information, content that infringes anyone's rights, or anything illegal.
(c) You must also not: create more than one account, or an account for anyone else; misrepresent your identity or professional background; scrape, harvest or bulk-collect members' profiles or contact details; use Collasia to send unsolicited mass outreach or to recruit for schemes; record a huddle or event room without the consent of everyone in it; or work around a block, a removal or a suspension.
(d) These rules add to the Acceptable Use Policy and Master Terms section 6.
5. Reports, blocking and moderation
(a) Members can report any contribution, comment, reply, event, knowledge item or profile, and can block any member. Blocking works as described in the guidelines and privacy notice.
(b) Circle and community owners and moderators may remove content and members from their spaces. The Collasia team moderates every public circle, reviews every report within 24 hours, and may act anywhere in Collasia.
(c) We may, without notice, remove or restrict any content, and warn, suspend or close any account, that we reasonably believe breaks these terms or the guidelines, harms members or exposes them or us to legal risk. We are not obliged to monitor all content, and we are not responsible for what members post, but we act on what we find and what is reported.
(d) Closing an account for a serious or repeated breach is a material breach under Master Terms section 11(b), and paid months are not refunded. If you think we got a decision wrong, write to us from Help & Support and a different person will review it.
6. Copyright complaints
If you believe content on Collasia infringes your copyright, send a notice to advisory@velorstrategy.com with the subject "Copyright notice", including: your contact details; the work you say is infringed; the link to the content on Collasia; a statement that you believe in good faith the use is not authorized by the owner, its agent or the law; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for them; and your physical or electronic signature. We remove content in response to valid notices, tell the member who posted it, and close the accounts of repeat infringers. A member who believes content was removed by mistake may send a counter-notice to the same address.
7. Collasia AI
Collasia AI suggests people, circles, events and knowledge, and answers questions using what you can see in Collasia. Its output may be incomplete or wrong, and is not professional advice (Master Terms section 12). It never posts or messages for you. You can turn off AI introductions in Privacy & Visibility. Master Terms section 9 applies: we do not use your data to train AI.
8. Ending your use
(a) You may delete your account at any time in Privacy & Visibility. Collasia and VelorStrategy share one account, so this ends both, deletes your data as described in the privacy notice, and cancels any web subscription. Store subscriptions must also be cancelled in your Apple or Google account.
(b) If you only want to stop paying, cancel your membership instead (section 2(c)); your account remains.
(c) Sections 3(c) to 3(f), 5(d), 6 and 10, and the Master Terms sections that survive by their nature, survive the end of your use.
9. Apple and Google app store terms
If you downloaded a Collasia app from the Apple App Store or Google Play:
- This agreement is between you and Stratenity Inc. only, not Apple or Google, and we, not they, are responsible for the app and its content.
- Your license is to use the app on devices you own or control, as the store's usage rules allow.
- Apple and Google have no obligation to provide maintenance or support for the app. Contact us through Help & Support.
- If the app fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the app's purchase price, if any; to the extent permitted by law, Apple has no other warranty obligation for the app.
- We, not Apple, are responsible for addressing claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, consumer protection or privacy claims, and claims that the app infringes a third party's intellectual property.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you as they relate to the app downloaded from the App Store.
- In-app purchases are also governed by the store's terms, including its refund rules.
10. Other terms
(a) Eligibility. You must be at least 18 (Master Terms section 2) and use your own real identity.
(b) Interactions between members. Relationships, collaborations, hiring, investments and meetings that start on Collasia are between the members involved. Use your judgment; we do not vet members and are not party to those arrangements.
(c) Third-party links and players. Content may link to or embed other services (for example YouTube or Spotify). Those services are governed by their own terms; we are not responsible for them.
(d) Changes to Collasia. We may add, change or remove features. If we stop offering Collasia, we will give members at least 30 days' notice and refund any prepaid period after the end date for web memberships.
(e) Changes to these terms follow Master Terms section 3(b).
